Subscription & Billing Terms

These Subscription & Billing Terms (“Terms”) form part of the Dripcel Principal Agreement and apply to all paid subscription plans, usage-based services, and add-ons. By subscribing to or using any paid Dripcel service, you agree to these Terms.

If these Terms conflict with other Dripcel policies, the following order of precedence applies: (1) Order Form (if applicable), (2) Subscription & Billing Terms, (3) SaaS Supplemental Terms, (4) Messaging Supplemental Terms, (5) Terms of Service.

1. Subscription Plans

1.1 Plan Types
Dripcel offers monthly and annual subscription plans (“Plans”). Annual Plans are billed upfront for the full year and typically provide a discounted rate compared to Monthly Plans.

1.2 Automatic Renewal
All Plans automatically renew for successive periods of the same length unless cancelled in accordance with Section 6.

1.3 Account Requirements
You must maintain an active Dripcel account with accurate contact and billing information.

2. Pricing & Price Changes

2.1 Pricing
All pricing is listed exclusive of applicable taxes (VAT, GST, sales tax, etc.).

2.2 Price Changes
Dripcel may update pricing or introduce new charges. We will provide at least 30 days’ advance notice via email and/or in-dashboard notification.
Revised pricing applies only at the start of your next billing cycle following the notice period.

3. Payment Method & Authorization

3.1 Valid Payment Method Required
You must maintain a valid payment method (credit card, debit card, ACH, or supported alternative).
By adding a payment method, you authorize Dripcel (via its payment processor) to charge that method for all fees.

3.2 Payment Attempts & Suspension
If a payment fails, Dripcel may retry up to three times over a period of 10 days.
If payment remains outstanding, access may be suspended until the balance is paid.

3.3 Payment Authorization
You authorize Dripcel to charge your payment method for subscription fees, usage-based charges, overage fees, taxes, and any additional agreed charges.

4. Overage & Usage-Based Billing

4.1 Usage Fees
SMS, MMS, WhatsApp, premium workflows, and certain features are billed on a pay-as-you-go basis in addition to your Plan fee.

4.2 Displayed Rates
Overage rates are shown in your Dripcel dashboard and on the pricing page.

4.3 Billing Timing
Usage is calculated in real time and billed at the end of each monthly billing cycle.

4.4 Large-Overage Auto-Billing
Dripcel may charge usage fees immediately if your usage exceeds USD $5,000 in a single billing period, to prevent fraud, credit risk, or abuse.
You will be notified upon such a charge.

5. Taxes

5.1 Responsibility for Taxes
You are responsible for all applicable taxes unless you provide a valid tax-exemption certificate.
If Dripcel is required to collect taxes, such taxes will be listed as a separate line item.

6. Cancellation by You

6.1 How to Cancel
You may cancel your subscription at any time from Settings → Billing in your Dripcel account.

6.2 Effect of Cancellation
Cancellation stops future billing. Your subscription remains active until the end of the current paid period.
No refunds or credits are issued for mid-cycle cancellations or partial months.

6.3 Downgrades
Downgrading to a lower-tier Plan follows the same rules as cancellation and takes effect at your next renewal.

7. Refunds

7.1 Monthly Plans
No refunds or credits are issued for partial months, unused time, or unused features.

7.2 Annual Plans – 14-Day Refund Window
If you cancel an Annual Plan within 14 days of initial purchase or annual renewal, Dripcel will issue a full refund.
After 14 days, no refunds are provided.

7.3 Usage & Overage Charges
Pay-as-you-go usage fees, including SMS/MMS/WhatsApp, are non-refundable.

7.4 Policy Violations
No refunds are provided for accounts suspended or terminated due to violations of the Terms of Service, Acceptable Use Policy, or Messaging Compliance rules.

7.5 Billing Errors
If you believe you were incorrectly charged, you must contact Dripcel within 30 days. Verified errors will be corrected or refunded.

8. Free Trials

8.1 Trial Access
Free trials may be provided for certain Plans. A valid payment method may be required.

8.2 Automatic Conversion
You will not be charged until the trial ends. If you do not cancel before the end of the trial, you will be automatically billed for the next billing period.

9. Suspension & Termination by Dripcel

9.1 Suspension for Non-Payment
Dripcel may suspend access if invoices remain unpaid.

9.2 Immediate Suspension for Violations
Dripcel may immediately suspend or terminate your account, without refund, if you engage in:
• spam activity
• fraud
• abusive or illegal activity
• violations of our Acceptable Use Policy, Messaging Compliance rules, or Terms of Service

9.3 Immediate Payment Due Upon Termination
Upon termination for any reason, all outstanding or unpaid amounts become immediately due and payable.

10. Late Payments & Collections

10.1 Interest on Late Payments
Overdue amounts accrue interest at 1.5% per month, or the maximum rate permitted by law.

10.2 Collections & Attorney Fees
You agree to reimburse Dripcel for all reasonable collection costs and attorney fees incurred in recovering unpaid amounts.

11. No Chargebacks

11.1 Dispute Resolution First
You agree to contact Dripcel to resolve any billing dispute before initiating a chargeback with your bank or card issuer.

11.2 Unjustified Chargebacks
If you file an unjustified chargeback, Dripcel may:
• suspend or terminate your account, and
• pursue recovery of the disputed amount plus chargeback fees and associated costs.

12. Data Retention After Cancellation

12.1 Post-Cancellation Access
After cancellation or termination, your data may remain accessible for up to 30 days.

12.2 Deletion Requests
You may request early deletion of your data.

12.3 Automatic Deletion
After the retention period, Dripcel may permanently delete your account data unless legally required to retain it.

13. Changes to These Terms

Dripcel may update these Subscription & Billing Terms.
Updates become effective on the stated effective date. Continued use of Dripcel after that date constitutes acceptance of the updated Terms.
